End-User License Agreement (EULA)

Parties: This EULA is a legal agreement between Strange Process ("Vendor" or "Licensor") and the individual or entity acquiring the Software ("Licensee" or "You").
1. ACCEPTANCE OF TERMS
By downloading, installing, or using Video Painter ("the Software"), You agree to be bound by these Terms of Use, which constitute the End-User License Agreement (EULA). If You do not agree, do not use the Software.
2. GRANT OF LICENSE (SOFTWARE OWNERSHIP)
2.1. License Grant
The Vendor grants to the Licensee a non-exclusive, non-transferable license ("Licence") to use the Software in accordance with the specific Licence Tier (LITE or PRO) purchased by You.
2.2. Retention of Rights
The Software is licensed, not sold. Title, copyright, all intellectual property rights, and distribution rights of the Software, including all bundled visual libraries, executable code, and content, remain exclusively with the Vendor and/or its licensors.
3. LICENCE TIERS AND PERMITTED USE
The Licence granted under Section 2 is subject to the following tiers:
3.1. LITE License (Non-Commercial)
The LITE License grants You the right to:
- Use the Software for personal, non-commercial purposes only.
- Access included visual libraries within the Software interface.
- Create visual performances for personal use.
3.2. PRO License (Commercial)
The PRO License grants You the right to:
- Use the Software for personal and commercial purposes. Commercial use includes paid performances, broadcasts, or any use where compensation is received, directly or indirectly.
- Access all included visual libraries within the Software interface.
- Create visual performances and output (screenshots, video recordings, live output) for commercial use.
- Import custom visual libraries into the Software.
4. RESTRICTIONS ON USE
Regardless of the Licence Tier, You may NOT:
- Reverse Engineer, Decompile, or Disassemble the Software.
- Remove or modify any proprietary notices or labels.
- Rent, lease, lend, sell, sublicense, or otherwise transfer the Software or the Licence to any third party.
- Use the Software to create or aid in the creation of competing software products.
- Share your license key with others.
5. VISUAL LIBRARY CONTENT RESTRICTIONS (IP Protection)
5.1. Prohibited Extraction (Source Assets)
The visual content libraries bundled with Video Painter (including video files, images, shaders, 3D models) are licensed exclusively for use within the Software. You are strictly prohibited from:
- Extracting or copying visual library files from the application bundle.
- Using extracted source assets (PNGs, videos, shaders, 3D models) in any other project, presentation, design, or software.
- Distributing, selling, or sharing extracted visual library content.
5.2. Permitted Output
You ARE permitted to use the rendered output (live visual output, captured screenshots, recorded video) of the Software (with PRO license for commercial use).
6. ACTIVATION, TERMINATION, AND DEVICE LIMITS
6.1. Device Limits
Each Licence may be activated on up to two (2) devices simultaneously.
6.2. Termination by Vendor
The Vendor may terminate this Agreement immediately if You fail to comply with any of the terms of this EULA or are in material breach.
6.3. Effect of Termination
Upon termination, the Licence is immediately forfeited. You must promptly delete all copies of the Software and related documentation. Visual library content restrictions (Section 5) remain in effect perpetually.
7. REFUND POLICY
7.1. No Refunds
All sales are final. Due to the nature of digital software products, refunds are generally not provided once a license key has been delivered.
7.2. Exceptional Circumstances
In rare and outstanding circumstances, refunds may be issued at the sole discretion of the Vendor. Requests for refunds under exceptional circumstances must be submitted to support@videopainter.ca with a detailed explanation. The Vendor reserves the right to approve or deny any refund request at its sole discretion.
7.3. Refund Exclusions
Refunds will not be provided if You have violated these Terms of Use or if the Software functions as advertised.
8. WARRANTY DISCLAIMER
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE VENDOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Vendor does not warrant that use of the Software will be uninterrupted or error-free. You assume all risks associated with the use of the Software.
9. LIMITATION OF LIABILITY
THE VENDOR WILL NOT BE LIABLE FOR ANY GENERAL, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, including, but not limited to, loss of profits, revenue, or data, arising out of the use or failure to use the Software. IN NO EVENT SHALL THE VENDOR'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE LICENSE.
10. GOVERNING LAW AND GENERAL PROVISIONS
10.1. Governing Law
This Agreement is governed by the laws of Ontario, Canada, without regard to conflict of law provisions.
10.2. Entire Agreement
This EULA constitutes the entire agreement between the parties concerning the Software.
