VIDEO PAINTER - Terms of Use

1. ACCEPTANCE OF TERMS

By downloading, installing, or using Video Painter ("the Software"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Software.

2. LICENSE GRANT

2.1 LITE License

The LITE license grants you a non-exclusive, non-transferable right to:

Use the Software for personal, non-commercial purposes only
Access included visual libraries within the Software interface
Create visual performances for personal use

2.2 PRO License

The PRO license grants you a non-exclusive, non-transferable right to:

Use the Software for personal and commercial purposes
Access all included visual libraries within the Software interface
Create visual performances for commercial use (live events, venues, broadcasts, recordings)
Capture and use screenshots/recordings of the Software output for commercial purposes
Import custom visual libraries into the Software

2.3 License Restrictions

Regardless of license tier, you may NOT:

Reverse engineer, decompile, or disassemble the Software
Remove or modify any proprietary notices or labels
Rent, lease, lend, sell, or sublicense the Software
Use the Software to create competing software products
Share your license key with others

3. VISUAL LIBRARY CONTENT RESTRICTIONS

3.1 Prohibited Extraction and Use

IMPORTANT: The visual content libraries bundled with Video Painter (including but not limited to video files, PNG images, shaders, 3D models, and generative effects) are licensed exclusively for use within the Video Painter application.

You are strictly prohibited from:

Extracting visual library files from the application bundle
Using extracted visual assets (PNGs, videos, shaders, 3D models) outside of Video Painter
Incorporating extracted assets into other projects, presentations, designs, or media
Distributing, selling, or sharing extracted visual library content
Using visual library content in graphic design, web design, video editing, or any other software

Examples of Prohibited Use:

❌ Extracting PNG files from a library and using them in a poster design
❌ Copying video files from the app and editing them in video editing software
❌ Using shader code in other applications or projects
❌ Distributing 3D models from the app to others

3.2 Permitted Use of Visual Output

You ARE permitted to:

✅ Use Video Painter's live visual output in commercial performances (PRO license only)
✅ Capture screenshots of the Software's output and use them commercially (PRO license only)
✅ Record video of the Software's output and use it commercially (PRO license only)
✅ Display the Software's output via projection or Syphon output in live events (PRO license only)

Key Distinction: You may use the rendered output of Video Painter commercially (with PRO license), but you may not extract and use the source visual assets outside of the application.

3.3 Enforcement

Violation of Section 3.1 constitutes a material breach of this agreement and may result in:

Immediate termination of your license
Legal action to recover damages
Injunctive relief to prevent further unauthorized use

4. ACTIVATION AND DEVICE LIMITS

4.1 Device Limits

Each license may be activated on up to two (2) devices simultaneously
You may deactivate the license on one device to free up an activation slot
Exceeding the device limit will prevent new activations

4.2 Deactivation

You may deactivate your license:

Via the File menu in Video Painter
Through your Lemon Squeezy customer portal
By contacting support@videopainter.ca

5. INTELLECTUAL PROPERTY

5.1 Ownership

Video Painter and all visual library content are owned by Strange Process and/or its licensors. The Software and visual libraries are protected by copyright, trademark, and other intellectual property laws.

5.2 Third-Party Content

Video Painter incorporates third-party libraries and components. See the "Third Party Licenses" section in the Help menu for full attribution and license terms.

5.3 Custom Libraries (PRO Only)

You retain all rights to custom visual libraries you create and import
Strange Process claims no ownership over your custom content
You are responsible for ensuring you have rights to any custom content you import

6. COMMERCIAL USE

6.1 PRO License Required

Commercial use of Video Painter requires a valid PRO license. Commercial use includes:

Paid performances at venues, festivals, or events
Live streaming or broadcasts generating revenue
Corporate events, installations, or presentations
Any use where compensation is received directly or indirectly

6.2 LITE License Limitations

The LITE license is limited to personal, non-commercial use only. Using LITE for commercial purposes is a violation of these terms.

6.3 Revenue Attribution

If you use Video Painter PRO in commercial contexts, you may optionally credit "Video Painter by Strange Process" but this is not required.

7. UPGRADES AND DOWNGRADES

7.1 LITE to PRO Upgrade

You may upgrade from LITE to PRO at any time by purchasing the upgrade
Contact support@videopainter.ca for upgrade discount codes
Your LITE license will be replaced by the PRO license upon activation

7.2 No Downgrades

PRO licenses cannot be downgraded to LITE. No refunds are provided for downgrades.

8. REFUND POLICY

8.1 No Refunds

All sales are final. Due to the nature of digital software products, refunds are generally not provided once a license key has been delivered.

8.2 Exceptional Circumstances

In rare and outstanding circumstances, refunds may be issued at the sole discretion of Strange Process. Requests for refunds under exceptional circumstances must be submitted to support@videopainter.ca with a detailed explanation. Strange Process reserves the right to approve or deny any refund request at its sole discretion.

8.3 Refund Exclusions

Refunds will not be provided if you have violated these Terms of Use or if the Software functions as advertised.

9. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. STRANGE PROCESS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
UNINTERRUPTED OR ERROR-FREE OPERATION

You assume all risks associated with the use of the Software.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRANGE PROCESS SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, or consequential damages
Loss of profits, revenue, data, or use
Cost of substitute goods or services
Damages arising from use or inability to use the Software

IN NO EVENT SHALL STRANGE PROCESS'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE LICENSE.

11. FMOD REVENUE LIMIT

Video Painter uses the FMOD Studio API under the FMOD Indie License, which is valid for products with annual gross revenue under US $200,000.

IMPORTANT: If your annual gross revenue from using Video Painter exceeds $200,000, you (as the end user) may be required to obtain a separate FMOD Commercial License. Contact sales@fmod.com for more information.

Strange Process's compliance with FMOD licensing requirements does not transfer any FMOD license rights to you beyond the scope of the FMOD Indie License revenue limit.

12. TERMINATION

12.1 Termination by You

You may terminate this agreement at any time by:

Uninstalling the Software
Deactivating your license

12.2 Termination by Strange Process

Strange Process may terminate your license immediately if:

You violate these Terms of Use
You exceed device activation limits without resolution
You engage in fraudulent activity or abuse

12.3 Effect of Termination

Upon termination:

Your right to use the Software ceases immediately
You must delete all copies of the Software
Visual library content restrictions (Section 3) remain in effect perpetually
No refund will be provided if terminated for breach
Effect of Refund (if granted): In the rare event that a refund is granted at Strange Process's discretion, all license rights (including PRO commercial usage rights) are revoked retroactively from the original purchase date. Any commercial use, revenue generation, or public performance during the period covered by the refund was unauthorized and may subject you to retroactive licensing fees and legal action.

13. UPDATES AND MODIFICATIONS

13.1 Software Updates

Strange Process may provide updates, patches, or new versions of the Software. Updates may:

Add new features
Fix bugs or security vulnerabilities
Modify or remove existing features

13.2 Terms Updates

Strange Process reserves the right to modify these Terms of Use at any time. Continued use of the Software after changes constitutes acceptance of the new terms.

14. PRIVACY

14.1 Data Collection

Video Painter collects minimal data:

License key validation (online)
Device fingerprint for activation limits
Crash reports (via macOS system, if crashes occur)

14.2 No Analytics

Video Painter does not collect usage analytics, telemetry, or personal information beyond license validation.

14.3 License Validation

License validation requires an internet connection and is performed through Lemon Squeezy's API. See Lemon Squeezy's privacy policy at https://www.lemonsqueezy.com/privacy

15. EXPORT COMPLIANCE

You agree to comply with all applicable export and import laws when using the Software. You may not use the Software in any country subject to embargo or economic sanctions.

16. GOVERNING LAW

These Terms of Use are governed by the laws of Ontario, Canada, without regard to conflict of law provisions.

Any disputes arising from these terms shall be resolved in the courts of Ontario, Canada.

17. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full effect.

18. ENTIRE AGREEMENT

These Terms of Use constitute the entire agreement between you and Strange Process regarding the Software and supersede all prior agreements or understandings.
